Registered Agent Services:

Every corporation and LLC doing business formed in or doing business in Virginia must have a Registered Agent on file with the State Corporation Commission (SCC).  We currently serve as Registered Agent for over 400 entities.  We assist with compliance and filing requirements and help maintain privacy. The importance of maintaining your corporate or company formalities cannot be overstated.  If you do not operate your corporation or LLC as a separate and distinct entity by making all required filings, keeping current and accurate records, and keeping your personal finances separate from corporate or company finances, the principals risk losing the protection from personal liability, which is one of the main benefits of operating under a corporate or LLC umbrella.

Although an officer or director of a corporation or a member of an LLC may serve as Registered Agent, having LingleLaw handle Registered Agent services allows the principals of the entity to focus on their core business. We ensure that the SCC annual registration paperwork is correctly completed and that you are advised of all filing deadlines and fees. You simply sign the forms and file them based on the instructions we provide.  We allow the principals to maintain privacy because LingleLaw is the primary point of contact on public record at the SCC.  If your corporation or LLC is a party to a law suit, garnishment, regulatory action or any other proceeding, we receive that information first. If documents are served by the sheriff or a process server, they come to our office, not your home or business.  We promptly contact our Registered Agent clients to ensure that an appropriate response is filed. 


 

Standard Registered Agent Services:

LLCs: Standard Registered Agent services for LLCs include processing the SCC annual registration package and handling any official correspondence or legal process served on our office. Our annual fee for LLCs is $250, but we give a $50 for credit for multiple entities.

Corporations:  Corporations must hold annual meetings of the shareholders and directors and must keep accurate, current corporate records.  Minutes or resolutions documenting meetings and other corporate activities are frequently overlooked.  Standard Registered Agent services for corporations includes preparing all necessary minutes and resolutions, maintain your corporate book, processing the SCC Annual Report and registration package and handling any official correspondence or legal process served on our office. Our annual fee for corporations is $350, but we give a $50 for credit for multiple entities.

Limited Registered Agent Services:

If your have a non-Virginia entity, or if you would prefer to handle your own annual minutes and maintain your own corporate book or company records, we can simply serve as Registered Agent for SCC purposes. Our services will be limited to sending you the annual SCC registration package and handling any official correspondence or legal process served on our office. Our annual fee for Limited Registered Agent Services is $250, but we give a $50 credit for multiple entities.

Non-Virginia Entities:

In order to conduct business in Virginia, out of state (foreign) entities must obtain a Certificate of Authority from the SCC to Transact Business in Virginia, and the entity must have a Registered Agent and a registered office address in Virginia just like domestic entities. The requirements for obtaining a Certificate of Authority are very specific, and they can be cumbersome without the assistance of an experienced attorney.  If a business is moving to Virginia permanently it is also possible to “domesticate” that business by converting it to a Virginia entity.  Contact us for more details.  We have experience with a variety of entities from many different states.  If your company plans to do business in Virginia we can assist you in that process either by domesticating your entity or serving as Registered Agent in Virginia.
